Government Action Plan on Private Sector Development

The government has just issued Resolution No. 138/NQ-CP promulgating the Government's Action Plan to implement Resolution No. 68-NQ/TW dated May 4, 2025 of the Politburo on the development of the private economy.

The government facilitates private sector access to resources.

The resolution states that, in order to achieve the objectives set out in Resolution No. 68-NQ/TW, in the coming period, in addition to regular tasks, ministries, sectors, and localities need to concretize and decisively organize the implementation of the following tasks:

Innovating thinking, achieving high levels of unity in awareness and action, arousing national confidence and aspirations, and creating new impetus and momentum for the development of the private economy.

In this context, ministries, sectors, localities, business associations, and industry groups should develop and implement regular and extensive propaganda programs on the content of Resolution No. 68-NQ/TW and the position and role of the private economy, focusing on: diversifying forms and methods of propaganda; specifying the content of propaganda for each target group; and developing specialized communication programs on the development of the private economy on television, radio, social networks, and online newspapers to inspire entrepreneurship and promote the strong development of the private economy.

Ministries, sectors, and localities shall develop implementation plans for the Government's Action Plan with specific, quantifiable objectives; assign responsibility to the heads of agencies and units to ensure that all civil servants, public employees, and workers change their mindset, perceptions, and actions, treat the private sector fairly and equally, and build an open, friendly, collaborative, honest, and development-oriented relationship between the government and businesses.

The Ministry of Culture, Sports and Tourism directs media and press agencies to improve the quality and effectiveness of propaganda work; to provide objective, truthful, and complete information on the private economy; to encourage and spread good models, innovative and effective practices, and to inspire the entrepreneurial spirit throughout society; and to strictly and publicly handle acts of harassment, corruption, and the dissemination of false or inaccurate information that affects businesses, households, individuals, and entrepreneurs.

Promote reforms, improve and enhance the quality of institutions and policies, effectively guarantee and protect ownership rights, property rights, freedom of business, equal competition, and ensure the enforcement of contracts for the private sector.

Regarding promoting reforms, improving and enhancing the quality of institutions and policies.,Ministries, sectors, and localities must thoroughly instruct all civil servants, public employees, and workers to strongly innovate administrative thinking from control to partnership, considering businesses as subjects to "serve" rather than subjects to "manage," ensuring the principle of "actions speak louder than words," and consistency throughout the entire political system; strictly prohibit the abuse of administrative decisions, the "request-grant" mechanism, and acts of protectionism for specific sectors and localities in the development and implementation of policies and laws; and ensure consistency in policy implementation between the central and local levels, between ministries and sectors, and between localities themselves.

The organization shall develop and implement fair and transparent policies and laws based on market mechanisms, without discrimination between private enterprises and state-owned enterprises or FDI enterprises in the mobilization, allocation, and use of capital, land, resources, assets, technology, human resources, data, and other resources.

Develop and implement a plan to review legal documents within the scope of the industry, sector, and geographical area under management to handle matters within authority or report to competent authorities for handling, in order to eliminate unnecessary business conditions, overlapping regulations, and inappropriate provisions that hinder the development of businesses and business households.

Thoroughly apply digital transformation to minimize the time spent on administrative procedures, compliance costs, and business conditions related to market entry and exit, land, planning, investment, construction, taxation, customs, insurance, intellectual property, standards, and regulations. Implement the provision of public services to businesses and household businesses regardless of administrative boundaries. In 2025-2026, ensure the completion of the goals and roadmap stipulated in Resolution No. 66/NQ-CP dated March 26, 2025, of the Government on the Program for reducing and simplifying administrative procedures related to production and business activities in 2025-2026.

Ministries and sectors are developing and implementing plans to review investment and business conditions in order to amend or propose amendments to competent authorities, aiming to shift all business conditions, licenses, and certifications to a system of public disclosure and post-inspection, except for a few sectors that are required to undergo licensing procedures according to regulations and international practices.

Establish a dedicated section on the unit's website or portal to receive and promptly address issues, feedback, and suggestions from citizens, businesses, and household businesses.

Review policies and programs supporting businesses to amend or propose amendments to competent authorities in the following directions: (i) maximally simplify application forms, processes, and procedures for support; (ii) increase support levels and rates to closely reflect market realities; (iii) ensure sufficient resources are allocated for support; (iv) encourage associations, research institutes, universities, etc., to participate in implementing support programs.

Develop plans for private sector development integrated into the annual and five-year socio-economic development plans of ministries, sectors, and localities; proactively allocate and integrate funds, or compile and propose to competent authorities the allocation of funds to implement support for the private sector.

Ensuring and effectively protecting the property rights, freedom of business, property rights, equal competition rights, and contract enforcement of the private sector.Ministries, sectors, and localities are directing their subordinate agencies, units, and enterprises to urgently review and settle all outstanding contracts, putting an end to the misappropriation of capital from businesses and household businesses.

Review and categorize inspection targets; eliminate overlapping, redundant, and prolonged inspections on the same content and field; the number of inspections at businesses, household businesses, and individual businesses, including inter-agency inspections, should not exceed one per year, except in cases where surprise inspections are necessary due to clear signs of violations. Publicly announce inspection plans on the Information Portal so that the business community and household businesses are aware and can cooperate in implementation. Promote online and remote inspections; prioritize inspections based on electronic data, minimizing direct inspections. Strictly punish acts of abusing inspections to harass or create difficulties for businesses and household businesses.

Develop and publish on the unit's website and portal tools and solutions for early warning to businesses and household businesses about potential legal violations, based on the integration of management and warning data from state management agencies.

Directing agencies and units to vigorously combat counterfeit goods, pirated goods, smuggled goods, and copyright infringement to protect the legitimate rights and interests of businesses and households operating in accordance with the law.

Adhere to the principle of clearly distinguishing criminal from administrative and civil responsibilities; and between legal entities and individuals in handling violations.The Ministry of Public Security is reviewing and amending the Penal Code and the Criminal Procedure Code, coordinating closely with the court and procuracy systems at all levels, and directing and ensuring that during the investigation and handling of violations, the principle of clearly distinguishing criminal from administrative and civil responsibility, and between legal entities and individuals in handling violations, is maintained as stipulated in point 2.3, clause 2, Section II of Resolution No. 68-NQ/TW.

Facilitating private sector access to resources such as land, capital, and high-quality human resources.

Enhancing opportunities for private businesses to access land and premises for production and business.The Ministry of Agriculture and Environment is reviewing and amending the Land Law and its implementing guidelines, supplementing mechanisms and policies to: (i) control land price fluctuations, especially for non-agricultural production and business land; (ii) assigning localities to: allocate land for investment in infrastructure for industrial parks, industrial clusters, and technology incubators for high-tech enterprises, small and medium-sized enterprises, and innovative startups to lease; provide land lease support policies for the above-mentioned entities; complete the construction of the national land database and connect it with the National Data Center and related databases; and issue regulations on the management, operation, and exploitation of the national land database.

The Ministry of Finance is reviewing and amending Government Decree No. 35/2022/ND-CP dated May 28, 2022, regulating the management of industrial parks and economic zones, supplementing mechanisms and policies to assign localities to allocate a minimum of 20 hectares per industrial park or 5% of the total land fund with invested infrastructure in industrial parks for lease to high-tech enterprises, small and medium-sized enterprises, and innovative start-ups.

Review and amend Decree No. 108/2024/ND-CP dated August 23, 2024, regulating the management, use, and exploitation of public land and houses not used for residential purposes, assigned to local housing management and business organizations for management and exploitation, in order to supplement the mechanism for exemption and reduction of fees for small and medium-sized enterprises, supporting industry enterprises, and innovative enterprises renting unused or non-used public land and houses in the locality.

The Ministry of Industry and Trade is reviewing and amending Government Decree No. 32/2024/ND-CP dated March 15, 2024, on the management and development of industrial clusters to supplement mechanisms and policies that assign localities to allocate a minimum of 20 hectares per industrial cluster or 5% of the total land fund with invested infrastructure for high-tech enterprises, small and medium-sized enterprises, and innovative start-up enterprises to lease.

Local authorities promptly publicize land use plans and schemes in their areas; actively coordinate with political and social organizations to support businesses in land clearance; thoroughly apply digital transformation to provide full-process online public services in carrying out administrative procedures related to land, reducing the time for processing land lease procedures and issuing land use right certificates for people and businesses by at least 30%.

Ministries and agencies should urgently review and agree with the Ministry of Finance on a plan for handling public land and houses under their management that are unused or not in use, in order to transfer them to localities for lease to small and medium-sized enterprises, supporting industry enterprises, and innovative enterprises for production and business purposes.

Promoting and diversifying sources of capital for the private sector.The State Bank of Vietnam is reviewing and amending Circular No. 26/2024/TT-NHNN dated June 28, 2024, of the State Bank of Vietnam regulating financial leasing activities, in the direction of expanding the list of assets for leasing such as software, exploitation rights, intellectual property, and data; directing commercial banks to: (i) Prioritize credit capital for private enterprises, especially small and medium-sized enterprises, supporting industrial enterprises, and innovative startups to borrow for investment in machinery, equipment, new technologies, green transformation, digital transformation, and export credit, and supply chain credit; (ii) Encourage credit institutions to reduce interest rates for private enterprises to borrow to implement green and circular projects and apply environmental, social, and governance (ESG) standards; (iii) Improve internal regulations and encourage lending based on production and business plans and plans for expanding output markets; Lending based on value chains and supply chains; lending based on payment data and cash flow; lending based on collateral including: movable assets, intangible assets, and future assets in accordance with the law.

Strengthening information sharing mechanisms between the banking system, tax authorities, and relevant agencies ensures data consistency on the operational and financial status of businesses and household businesses, thereby enhancing lending to these entities; closely monitoring the operations of credit institutions and lending activities; and strictly controlling lending activities serving the internal ecosystem...

Improving the quality of human resources for the private sector.The Ministry of Education and Training will review and supplement the methods of evaluating and recognizing graduation with the participation of businesses for high-quality programs as stipulated in legal documents on enrollment and training regulations and vocational training; review the training program framework at all levels to add training content on creative skills, STEM, foreign languages, and digital skills to meet the requirements of high-quality human resources associated with the development of science and technology, innovation, and entrepreneurship; supplement the mechanism for training human resources according to orders from businesses and business households; encourage educational and vocational training institutions to cooperate and develop joint training programs with foreign countries; and adopt and replicate advanced training programs to improve the quality of human resources for businesses.

Promoting science and technology, innovation, digital transformation, green transformation, and efficient and sustainable business practices in the private sector.

In this regard, the Government requested the Ministry of Science and Technology to finalize the draft Law on Science, Technology and Innovation to add the following provisions: (i) enterprises may allocate up to 20% of their taxable income to establish a fund for the development of science, technology, innovation, digital transformation, and research and development; enterprises may use the fund to conduct research and development themselves or commission research and development under a product-based contract mechanism; (ii) enterprises may include 200% of the actual cost of research and development activities as deductible expenses when calculating corporate income tax; (iii) there should be mechanisms and policies to support the costs for private enterprises and organizations when using state-owned laboratories, testing rooms, design support rooms, shared research equipment, testing, measurement, inspection, and assessment centers for product development.

The Ministry of Finance is reviewing and proposing amendments to the Personal Income Tax Law, adding provisions such as: exemption from personal income tax for income from the transfer of shares, capital contributions, and investment rights in innovative startup businesses; and exemption or reduction of personal income tax for experts and scientists working at innovative startup businesses, research and development centers, and intermediary organizations supporting innovative startups.

Amend the Law on Supporting Small and Medium-Sized Enterprises, adding the following provisions: (i) exemption or reduction of corporate income tax for innovative start-up businesses, venture capital fund management companies, and intermediary organizations supporting start-ups and innovation from the time corporate income tax becomes payable; (ii) exemption from personal income tax and corporate income tax for individuals and organizations on income from the transfer of shares, capital contributions, and capital contribution rights in innovative start-up businesses; (iii) exemption or reduction of personal income tax for experts and scientists working at innovative start-up businesses, research and development centers, and innovation centers.

Strengthening connections between private enterprises, private enterprises with state-owned enterprises, and FDI enterprises.

The Government requests the Ministry of Finance to review and amend the Investment Law, Decision No. 29/2021/QD-TTg dated October 6, 2021, stipulating special investment incentives, and guiding documents to supplement: (i) preferential policies for large enterprises leading domestic supply chains, committed to technology transfer, product testing support, technical support, knowledge and human resource training, and the use of products and services of small and medium-sized enterprises; (ii) policies to promote localization through the development of linkages between FDI enterprises and domestic enterprises; (iii) applying appropriate localization rates according to the roadmap in priority foundation and key industries; (iv) stipulating that large FDI projects must plan to use domestic supply chains from the project approval stage.

Review and amend the Law on Supporting Small and Medium-Sized Enterprises, adding policies to: (i) support enterprises in obtaining certificates and certifications that meet industry standards required by export markets, value chain leading enterprises, and FDI enterprises; (ii) support consulting and trade promotion services connecting FDI enterprises with domestic enterprises in key industrial parks, economic zones, and free trade zones; (iii) support startups for managers and technical staff who have worked in FDI enterprises to leverage their experience, knowledge, and management models to participate in the supply chain; (iv) allow large enterprises to include training and retraining costs for small and medium-sized enterprises participating in the supply chain as deductible expenses when calculating corporate income tax...

Ministries, sectors, and localities should accelerate the implementation of the Law on Supporting Small and Medium-Sized Enterprises and support policies of various sectors and fields to help SMEs improve their capacity to connect with large enterprises and FDI enterprises; and promote investment in priority, key, and foundational sectors and fields.

Rapid formation and development of medium and large enterprises, and private economic groups of regional and global scale.

The Ministry of Finance is reviewing and amending the Law on Bidding and its implementing guidelines, adding regulations on ordering, limited bidding, or direct contracting, or implementing preferential policies to encourage the private sector to participate alongside the State in strategic areas, key national-level projects and scientific research tasks (such as high-speed rail, urban rail, cutting-edge industries, energy infrastructure, digital infrastructure, green transportation, defense industry, security...), and urgent tasks.

Review and amend the Law on Investment under the Public-Private Partnership (PPP) method and its implementing guidelines to diversify and enhance the effectiveness of cooperation between the State and the private sector through public-private partnership (PPP) models, public leadership - private management, public investment - private management, private investment - public use, in the fields of economic infrastructure, socio-cultural infrastructure, information technology, and communication.

Develop and implement a program to identify 1000 outstanding enterprises that are pioneers in science and technology, innovation, digital transformation and green transformation, high-tech industries, and supporting industries.

The Ministry of Industry and Trade is developing and implementing the "Go Global" program based on a review and integration of existing or planned business support programs of the industry, focusing on solutions to support markets, brands, distribution channels, logistics, insurance, consulting, legal services, business dispute resolution, trade, mergers and acquisitions, and connections with multinational corporations.

Providing substantive and effective support to small and micro enterprises and household businesses.

The Ministry of Finance is researching and perfecting the legal framework for individual businesses in the following directions: (i) regulating governance models, financial and accounting regimes... (ii) having policies to provide free digital platforms, shared accounting software, legal consulting services, and training in business management, accounting, taxation, human resources, and law for household businesses and individual businesses.

The Ministry of Finance is reviewing and amending legal regulations on financial, accounting, tax, and insurance regimes for micro-enterprises, aiming for simplification, ease of compliance, and implementation, without creating additional accounting and administrative personnel, in order to encourage household businesses to transition to operating under the enterprise model; reviewing and amending the Tax Management Law to abolish the lump-sum tax system for household businesses; and amending the Law on Supporting Small and Medium-Sized Enterprises, adding policies to provide free digital platforms, shared accounting software, legal consulting services, and training in business management, accounting, taxation, human resources, and law for small and micro-enterprises.

Upholding business ethics, promoting social responsibility, strongly fostering the entrepreneurial spirit, and creating all favorable conditions for entrepreneurs to participate in national governance.

The Ministry of Culture, Sports and Tourism is researching and developing a project on ethical standards and business culture linked to national identity and incorporating the best practices of global business culture.

The Ministry of Education and Training is reviewing the curriculum framework at all educational levels to add training content on starting and running businesses, aiming to promote the entrepreneurial spirit among students.

Ministries, departments, localities, and business associations regularly promote awareness among entrepreneurs, businesses, household businesses, and individual business owners about honesty, integrity, ethical business practices, a business culture rooted in national identity, social responsibility, environmental protection awareness; respect for the law; and aspirations to build a strong, prosperous, and thriving nation, enhancing the position and image of Vietnamese businesses and entrepreneurs.

Regularly instruct officials, civil servants, and employees to proactively and diligently resolve problems for businesses according to their functions, duties, and authority; promptly report to superiors for handling and resolution of issues beyond their authority; build a close, substantive, sharing, open, and sincere relationship between the government and businesses...

Industry associations and organizations representing entrepreneurs and businesses should urgently strengthen and enhance their roles, functions, and operational efficiency to protect the legitimate rights and interests of businesses and entrepreneurs; improve the quality of their participation in the development, critique, and monitoring of policies and guidelines; enhance their capacity and participation in the implementation of programs and policies supporting the private economy; communicate to raise members' awareness of ethics, responsibility, and business culture; and maintain honesty in handling matters with state agencies, ensuring that the true nature of events is reflected, without exploiting or corrupting officials and civil servants.
