3 things to avoid when naming a business

In the draft Decree on business registration, the Ministry of Planning and Investment proposed 3 prohibitions in naming businesses.

The draft clearly states that enterprises may only use their business lines, professions, and investment forms to form their own names if they have registered for that business line or profession or have made investments in that form. The name of a state-owned economic group is decided by the Prime Minister.

The draft also clearly states three prohibitions in naming an enterprise: 1- It is not allowed to use the same name or a name that causes confusion with the name of another enterprise that has been registered nationwide, except for enterprises whose Business Registration Certificates have been revoked, and dissolved enterprises; 2- It is not allowed to use the name of a state agency, a unit of the people's armed forces, a political organization, or a socio-political organization as the whole or part of the enterprise's proper name, except in cases where there is approval from that agency, unit, or organization; 3- It is not allowed to use words or symbols that violate the historical, cultural, ethical, and traditional customs of the nation to name an enterprise.

Do not use the same name or name that can be confused with another business name.

According to the draft, a duplicate name is a case where the name of the enterprise requesting registration written in Vietnamese is completely identical to the name of a registered enterprise.

Cases considered confusing with the names of other enterprises are clearly stated in the draft as follows: The Vietnamese name of the enterprise requesting registration is different from the registered enterprise name only by the symbol "&"; the symbol "-"; the word "and"; the abbreviated name of the enterprise requesting registration is identical to the abbreviated name of another registered enterprise; the foreign language name of the enterprise requesting registration is identical to the foreign language name of another registered enterprise; the proper name of the enterprise requesting registration is different from the proper name of the registered enterprise by one or more natural numbers, ordinal numbers or one or more Vietnamese letters (A, B, C,...) immediately after the proper name of that enterprise, except in the case where the enterprise requesting registration is a subsidiary of the registered enterprise; the proper name of the enterprise requesting registration is different from the proper name of the registered enterprise by the word "tan" immediately before, or "moi" immediately after the name of the registered enterprise; The proper name of the enterprise requesting registration is different from the proper name of the registered enterprise only by the words "North", "South", "Central", "West", "East" or words with similar meanings; except in the case where the enterprise requesting registration is a subsidiary of the registered enterprise; the proper name of the enterprise is identical to the proper name of the registered enterprise.
