On the morning of November 23, the National Assembly discussed in groups the Draft Law on State Capital Management and Investment in Enterprises and the Draft Law on Digital Technology Industry after listening to the submission and verification report.

Separating state management functions from corporate governance
The Draft Law on Management and Investment of State Capital in Enterprises regulates the management and investment of State capital in enterprises; arrangement and restructuring of State capital invested in enterprises; inspection, examination and supervision of capital management and investment, arrangement and restructuring of State capital invested in enterprises.
Speaking at the discussion, Ms. Nguyen Van Chi - Vice Chairwoman of the National Assembly's Finance and Budget Committee, a delegate from Nghe An, assessed that this is a very important Law but difficult to build because there are many issues that need to find reasonable solutions to both promote and ensure strict regulations for State-owned enterprises.

One of the major issues that the delegate from Nghe An recognized is that the Law must separate the State management function and the State's function of representing the State's capital ownership from the enterprise's management activities.
That is, it is still necessary to create a certain space for enterprises to be proactive and self-determined in their management activities like other types of enterprises; but on the other hand, it is necessary to ensure the role and function of management and representation of the State's equity capital.
"These are very difficult issues and the Law must resolve them," said delegate Nguyen Van Chi, adding that the draft Law has not resolved these issues, so further discussion is needed to complete it.

Expressing the view that when decentralization and delegation of power are strengthened, it must be associated with increased responsibility; however, according to the delegate, the draft Law still provides general regulations on the tasks, powers, and responsibilities of enterprises; it does not clearly state who performs the tasks and powers, leading to difficulty in considering responsibility.
Or the draft Law only stipulates the rights and obligations of the representative of the capital owner in enterprises with State capital invested from 50% to less than 100% of the charter capital; but there are no regulations for enterprises with 100% State capital or for enterprises with State capital from 50% or less.
In addition, delegate Nguyen Van Chi also commented that the relationship between this Law as drafted and other specialized laws such as the Investment Law, Construction Law, etc. is still unclear.
Issue attractive policies to promote digital technology industry
Discussing the Draft Law on Digital Technology Industry, regulating digital technology industry activities; digital technology industry development; rights and responsibilities of organizations and individuals participating in or related to the digital technology industry, Major General Tran Duc Thuan - Standing Member of the National Assembly's National Defense and Security Committee, delegate of Nghe An delegation agreed with the promulgation; but suggested reviewing relevant regulations on digital data to avoid duplication with the content of the Data Law about to be promulgated.

In particular, he emphasized that data is currently considered a resource and asset, thus related to the interests of organizations and individuals. Therefore, he suggested that the Law should stipulate more clearly the ownership and management rights of the digital technology industry and digital data; at the same time, ensure property rights.
In addition, the delegate from Nghe An proposed to develop regulations on support policies such as: preferential loans, tax reduction to develop digital technology enterprises, especially start-ups; establish innovation and digital transformation centers in the provinces.
At the same time, it is necessary to build a mechanism to protect intellectual property rights of technology enterprises; policies on human resource training, and include digital technology content in general education programs.
